Terms and Conditions

Terms and Conditions of Your License Agreement with;

 RPSŽ, Trademark Logos and Designs.

IOCŽ Realty Specialist Inc., a Nebraska Corporation, hereinafter called "RPSŽ".  By completing this form and becoming an RPSŽ Network Licensed Member, I hereby agree that all trademarks and tradenames of RPSŽ remain the property of RPSŽ and that I will complete all future RPSŽ Network Information Forms. THIS IS A LICENSE, NOT A SALE.

Trademark Licensing Agreement and Networking Membership with the RPSŽ Network and its associated documentations contains copyrighted and proprietary information protected by the laws of the United States Trademark Office. The Licensed Trademarks and Designs are the sole property of RPSŽ.

TERM:  This license shall remain in effect only for so long as you are in compliance with the terms and conditions of this agreement. This license will terminate if you fail to comply with any of its terms or conditions.  You agree, upon termination, to destroy any and all copies of Licensed Trademarks and Designs or product with said Licensed Trademarks and Designs.  The Limitations of Warranties and Liability set out below shall continue in force even after any termination.
 
RPSŽ grants you, the Network Member Licensee, a non-exclusive and non-transferable license, and the right to use the Licensed Trademarks and Designs. Your right to use the Licensed Trademarks and Designs terminates upon the violation of any provision of this License. If any provisions of this License is held to be unenforceable, such holding shall not affect the enforceability of any other provisions hereof. Licensed Trademarks and Designs are the RPSŽ Licensed Trademarks and Designs and any associated documentation.

Single User:  If you have not purchased a territory that is clearly designated as a territory, the Licensed Trademarks and Designs can only be used by you only, therefore, you cannot shared the trademarks or designs with any other person, unless specially authorized in writing and notarized allowing you to do so.
 
Your license grants you to use the Licensed Trademarks and Designs solely for marketing purposes of yourself to the general public.

The Licensed Trademark and Designs are provided "as is" without warranties of any kind either expressed or implied, including, but not limited to, warranties of title or implied warranties of merchantability or fitness for a particular purpose, other than those warranties which are implied by and incapable of exclusion, restriction or modification under the laws applicable to this agreement.  RPSŽ does not warrant that the Trademarks and Designs contained in the Licensed Trademarks and Designs will meet your requirements or that the operation of the Licensed Trademarks and Designs will be error free.  Should the Licensed Trademarks and Designs prove to be unsuitable for your or your operation, you (and not RPSŽ) assume the cost of adjustments, repair, correction or discontinued use.  No oral advice or written information given by RPSŽ , its employees, licensers or the like, shall create a warranty; nor shall you rely on any such information or advice.  

Upon request of RPSŽ, You agree to defend, indemnify and hold harmless RPSŽ its officers, directors, employees, agents and licensees, from any claims and expenses, including reasonable attorney's fees, in connection with your use of any and or all of the RPSŽ Service and Trademarks and Designs.

This Agreement shall be governed by the laws of the State of Nebraska (excluding choice of law rules).  This Agreement constitutes the entire agreement between you and RPSŽ with respect to your Networking with RPSŽ its Service, trademarks or designs.  RPSŽ's failure to enforce any provision hereof shall not be construed as a waiver of any provision or right.  In the event that a portion of this Agreement is held unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties and the remainder of the provisions shall remain in full force and effect.

Failure to have your licence fee paid is automatic termination of your partnering with the RPSŽ Network and will cease using the Licensed Trademarks and Designs and any associated documentation.

The RPSŽ Licensing Trademark/Servicemark fee (IN U.S.CURRENCY) is $30.00 per month payable yearly for a 12 month period and renew yearly under the terms and conditions mentioned within.
